Lumen Software License Agreement

Welcome to Lumen, a desktop application provided by Northland Creative Wonders, LLC (“NCW,” “we,” “us,” or “our”). This Software License Agreement (this “Agreement”) is a legal agreement between you (“User” or “You”) and NCW for the use of the Lumen application (“Lumen” or “the App”).

By clicking “I Agree,” installing, or using Lumen, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, please do not install or use the App.

1. Grant of License

Subject to the terms of this Agreement, NCW grants you a non-exclusive, non-transferable, revocable, limited license to install and use Lumen on the number of devices described below and solely for personal, use during the Evaluation Period and during any subsequent Subscription Period.

The “Evaluation Period” is fourteen (14) days from the date of your first launching the App. At the end of the Evaluation Period, the App will cease to be accessible unless you purchase it from NCW at the then current price. You many need to enter into the App a registration or license code provided by NCW at the time of your purchase for you to continue to access the App.

You may have Lumen installed on up to 3 devices that you own or control at any point in time, but you may only use Lumen on one of those devices at any point in time. 2. Who May Use the App

You must be at least 13 years old (or the legal age of majority in your jurisdiction) to use Lumen. By using the App, you represent that you meet this requirement and have the capacity to enter into a legally binding agreement.

3. User Content and Privacy

Lumen allows you to upload and organize your own images and other content. This content is stored locally on your device. We do not collect, view, or transmit your content to our servers or to third parties.

You are solely responsible for:

• Ensuring that your content complies with applicable laws
  
• Not using Lumen to store or organize any unlawful, harmful, or abusive material.

4. Restrictions and Ownership

You may not:

• Copy, resell, sublicense, or redistribute the App
  
• Reverse-engineer, decompile, or attempt to extract source code
  
• Use the App for any illegal purpose or to infringe the rights of others

Lumen is licensed, not sold. NCW retains all rights, title, and interest in and to the App, including all intellectual property rights. This Agreement does not grant you any rights to trademarks or service marks of NCW.

5. In-App Purchases and Refunds

Lumen may offer optional features in the App or licensed content accessible within the App for purchase. All sales are final unless your local laws require otherwise. All optional features or licensed content are licensed and not sold and are only accessible via the App, References to the App in this Agreement shall be read to include any such optional features or licensed content you have enabled through in-App purchases.

If you live in the EU, you have a 14-day “cooling-off” period under the Consumer Rights Directive for digital purchases, unless you choose to waive that right at the time of purchase.

If you believe you are entitled to a refund, please contact us at support@ncwonder.us. We will respond within 14 days.

We accept the forms of payment described on our checkout page for purchases. You represent and warrant that (a) the payment card information, bank account information or other payment information that you supply to us is true, correct and complete; (b) you are duly authorized to use such payment method; (c) charges incurred by you will be honored by your credit card company, bank or other applicable fund administrator; and (d) you will pay charges incurred by you at the specified prices, including any applicable taxes, if any. By making an in-app purchase, you agree that we and/or our designated third-party payment processor may process your payment. We may process your payment upon your order. You agree that you will be responsible for any overdraft fees which may arise.

6. Updates and Support

We may issue updates to improve functionality or fix bugs. These updates may be installed automatically or manually, depending on your system preferences.

7. No Warranty; Limitations of Liability

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NCW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the fullest extent provided by law, we shall not be liable for damages of any kind arising out of or in connection with use of the App, including any direct, indirect, special, incidental, consequential or punitive damages of any kind, however incurred, including but not limited to loss of use of the App or any data arising from your use of the App

Nothing in this Agreement limits your statutory consumer rights under the laws of your country, province, or state.

8. Dispute Resolution and Governing Law

This Agreement is governed by the laws of the Commonwealth of Massachusetts, USA.

Any dispute or claim relating in any way to your use of the App will be adjudicated in the state or Federal courts in Worcester County, Massachusetts, and you consent to exclusive jurisdiction and venue in these courts. We each waive any right to a jury trial.

9. Your Rights (EU, UK, Canada)

Depending on your location, you may have the right to:

• Request a refund under consumer protection laws
  
• Access or correct your personal data
  
• Request deletion of any personal data we hold
  
• Export any personal data we store (if applicable)
  
• Withdraw consent at any time

10. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and NCW Creative Wonders, LLC concerning your use of Lumen. They do not override any statutory rights or reasonable expectations based on our marketing.
